The current Services Terms govern professional and case-capped services when incorporated into an order or statement of work.
Document precedence: The linked controlled version and the applicable signed order are authoritative. The sections below are a procurement index only.
Orders and scope
The applicable order defines deliverables, assumptions, service limits, milestones, commercial terms, and the people responsible for decisions.
Case-capped and professional services
The controlled terms distinguish included work from change requests and define how usage, effort, or support cases are counted where a cap applies.
Customer dependencies
Delivery relies on timely customer access, environments, information, qualified contacts, testing, feedback, and approvals. Delays in dependencies can affect the schedule.
Changes and acceptance
Material scope changes follow the documented change process. Deliverable review and acceptance are handled under the controlled terms and applicable order.
Fees, expenses, and payment
Pricing, invoicing milestones, taxes, approved expenses, and payment periods are determined by the order and controlled terms.
Intellectual property and confidentiality
The document allocates rights in pre-existing materials, deliverables, reusable methods, and customer information and establishes confidentiality responsibilities.
Warranties, liability, and termination
The controlled version sets the applicable service warranty, remedy, limitation, suspension, termination, and survival provisions.
