These general terms describe the baseline conditions for business use of Flinker products and services. Product plans, order forms, service schedules, support plans, and signed agreements may add or replace specific provisions.
Document precedence: Where an order form, negotiated agreement, services schedule, or support plan conflicts with this website presentation, the signed or controlled document takes precedence.
Scope and contracting parties
These terms apply to business customers unless another written agreement expressly applies. Consumer transactions, if offered, may be subject to mandatory rules that cannot be limited by contract.
The contracting entity, products, subscription period, quantities, and commercial scope are identified in the applicable order, marketplace transaction, or written confirmation.
Orders, remuneration, and payment
Unless agreed otherwise, fees are calculated from the applicable order or published commercial offer and are stated net of statutory taxes. Usage-based or time-and-material services may be documented and invoiced according to the agreed billing period.
Invoices are due within the period stated on the invoice or order. The currently published general terms use a fourteen-calendar-day payment period unless otherwise agreed.
Subscriptions and service delivery
Flinker provides the products, licenses, updates, support, or professional services identified in the applicable order. Delivery dates depend on agreed prerequisites, customer access, decisions, and cooperation.
Preview, free, community, beta, or evaluation services may have different availability, support, feature, and change commitments from paid production services.
Customer responsibilities
Customers are responsible for lawful use, authorized user assignment, account and credential protection, source-data rights, Microsoft tenant configuration, backups under their control, and compliance with deployment documentation.
- Maintain supported environments and qualified administrators
- Provide timely access, information, decisions, and test data
- Configure Microsoft identity, permissions, sharing, and retention appropriately
- Avoid unlawful, abusive, infringing, or security-compromising use
License and intellectual property
Flinker and its licensors retain ownership of software, documentation, methods, designs, and product technology. The customer receives the limited use rights stated in the product plan or agreement for the applicable term and scope.
Customer data and pre-existing customer materials remain under customer ownership. Feedback may be used to improve products without identifying confidential customer information.
Third-party and Microsoft services
Some workflows depend on Microsoft, Azure, Power BI, AppSource, browsers, identity services, or other customer-selected systems. Those services remain governed by their providers and customer agreements.
Flinker is not responsible for changes, outages, restrictions, or configuration decisions in third-party services outside Flinker control.
Confidentiality and data protection
Each party protects confidential information using reasonable care and uses it only for the agreed relationship. Standard exclusions apply to information already known, independently developed, lawfully received, public without breach, or required to be disclosed by law.
Personal-data processing is governed by applicable law and, where required, the current Data Processing Agreement and technical measures.
Defects, support, and availability
Customers should report reproducible defects with sufficient diagnostic information. Remedies, support windows, response targets, maintenance, and service levels depend on the applicable product and support plan.
Free or preview services may be changed or discontinued and are generally provided without production service levels unless mandatory law requires otherwise.
Liability
Liability is governed by the applicable agreement and mandatory law. Nothing in these terms excludes liability that cannot legally be excluded, including liability for intent or other non-excludable matters.
Customers remain responsible for professional review of model information, engineering decisions, regulatory compliance, and business outputs produced from software-assisted workflows.
Term, suspension, and termination
The subscription or service term is stated in the applicable order. Rights may be suspended for material security risks, unlawful use, or overdue undisputed payment after the required notice where applicable.
On termination, use rights end except for rights expressly intended to survive. Customer-controlled project files remain in their source environment; handling of other data follows the applicable agreement and retention duties.
Changes and final provisions
Material changes to a signed commercial agreement require the agreed change process. Website terms may be updated for future transactions, service evolution, or legal requirements.
If a provision is ineffective, the remaining provisions continue to apply to the extent legally possible. Governing law, jurisdiction, and contract language are determined by the applicable agreement and mandatory law.
